Please read: Your acceptance legally binds you, or the organization you are acting on behalf of, to the terms of this agreement.
Irresistible Church Network ("ICN", "we", "us"), a ministry of North Point Ministries, Inc. ("NPM"), operates the ICN Partner Portal (the "Portal") — a private, invite-only platform through which ICN delivers ministry materials, training, events, and community features to participating churches and authorized individuals. These Terms of Service (the "Terms") govern your access to and use of the Portal.
Your use of the Content delivered through the Portal is also governed by the NPM Content License Agreement (the "Content License"), which is incorporated into these Terms by reference. Capitalized terms used and not otherwise defined in these Terms have the meanings given to them in the Content License (including without limitation "Authorized Parties," "Content," "Organization," "Individual," "Subscription," "Adaptations," "Term," and "Territory").
To the extent these Terms and the Content License conflict regarding use of the Content, the Content License controls. These Terms add Portal-specific obligations (account, acceptable use, user-submitted material, etc.) that supplement — not replace — the Content License.
The Portal is invite-only. To access the Portal you must be at least 18 years of age, have received an invitation from an authorized administrator, and be acting either as an Individual or on behalf of an Organization that holds an active Subscription under the Content License.
The Portal issues a separate individual account to each user. Notwithstanding any provision of the Content License regarding the sharing of login credentials with Authorized Parties, each Portal account is for use by a single human being. You agree to provide accurate registration information, keep your login credentials confidential, and not share your account with anyone else. You are responsible for all activity that occurs under your account.
Subject to your compliance with these Terms and the Content License, ICN grants you a limited, personal, non-exclusive, non-transferable, revocable license during the Term and within the Territory to access and use the Portal solely for the purposes contemplated by the Content License — namely, to facilitate the Organization's ministry training of its Authorized Parties, or, in the case of an Individual Subscription, your personal leadership and spiritual growth.
All video content, audio content, text, graphics, images, trademarks, logos, and other proprietary materials made available through the Portal are Content and Trademarks owned by NPM and/or its licensors. Your use of such Content and Trademarks is governed exclusively by the Content License. Nothing in these Terms grants you any rights in the Content or Trademarks beyond those granted by the Content License. Any use of the Content in print or electronic form, including descriptions of audio or video recordings, must include the attribution required by the Content License:

In addition to the restrictions in the Content License, you agree not to:
Some areas of the Portal (including the Connect area) allow you to submit posts, replies, profile information, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant ICN a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and adapt your User Content as needed to operate the Portal and make it available to other authorized Portal users.
You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms, the Content License, or any third-party rights. ICN may remove User Content that violates these Terms, with or without notice.
The rights granted to you under these Terms do not permit you to sublicense, share, or assign your access to the Portal to any other person or organization without the prior written approval of ICN. Any attempted sublicense or assignment without such approval is null and void and constitutes a material breach of these Terms. This Section is in addition to, and not in lieu of, the analogous provision in the Content License.
You acknowledge that the Content and Trademarks made available through the Portal are valid and valuable property owned exclusively by NPM and/or its licensors. You will not challenge or dispute these rights, and you agree to provide prompt written notice to ICN in the event that you learn that any person or organization has infringed or is infringing upon those rights.
ICN's handling of personal information collected through the Portal is described in our Privacy Policy, which is incorporated into these Terms by reference.
ICN does not guarantee that the Portal will be available uninterrupted or error-free. ICN may modify, suspend, or discontinue any feature of the Portal at any time, and may revise the terms on which future access is offered. Consistent with the Content License, ICN and NPM reserve the right to remove, replace, or change any of the Content available through the Portal at any time. ICN will make reasonable efforts to notify users of material changes that affect them.
THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ICN AND NPM MAKE NO WARRANTY REGARDING THE RESULTS OBTAINED FROM USE OF THE PORTAL, THE CONTENT, OR ANY SERVICES (AS DEFINED IN THE CONTENT LICENSE).
CONSISTENT WITH THE CONTENT LICENSE, ICN'S AND NPM'S MAXIMUM AGGREGATE LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU (OR BY YOUR ORGANIZATION) FOR THE SUBSCRIPTION FOR THE CURRENT TERM. IN NO EVENT WILL ICN OR NPM HAVE ANY LIABILITY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES UNDER ANY CAUSE OF ACTION OR THEORY OF LIABILITY, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold harmless ICN, NPM, and their respective subsidiaries, officers, directors, employees, members, and agents against any claim, dispute, loss, expenses, damages, or other liability related to or arising in whole or in part from (a) your breach of these Terms or the Content License, (b) your use of the Portal, (c) your User Content, or (d) your use of the Content, except solely for those claims that arise directly and solely from ICN's gross negligence or breach of these Terms.
These Terms do not create any affiliate, partnership, joint venture, or agency relationship between ICN, NPM, and you, and you agree not to imply that any such relationship exists.
You may stop using the Portal at any time. ICN may suspend or terminate your access at any time, with no refund, if you breach these Terms or the Content License. ICN may also suspend or terminate your access if your Organization's Subscription lapses or its license is terminated under the Content License, or as otherwise required by law. On termination, your right to access the Portal ends immediately and you will cease all use of the Content and Trademarks in accordance with the Content License.
Sections 4, 6 (second paragraph), 7, 8, 11, 12, 13, 14, 16, 17, and 18 survive termination of these Terms.
Failure by ICN to enforce any term of these Terms will not be deemed a waiver of its right to enforce that or any other term of these Terms.
These Terms are governed by the laws of the State of Georgia and the United States of America, without regard to conflict-of-law provisions. Any dispute, controversy, or claim arising under, out of, in connection with, or in relation to these Terms (except for any action seeking only injunctive relief) will be subject to mediation conducted in accordance with the Rules of Procedure for Christian Conciliation as established by the Institute for Christian Conciliation (a division of ICC Peace) located in Escondido, California. If the parties fail to resolve the conflict through mediation, then the matter will be resolved through final and binding arbitration in Fulton County, Georgia, by an arbitrator licensed to practice law in Georgia. Judgment upon any award may be entered in any court located in Fulton County, Georgia having jurisdiction. The prevailing party is entitled to recover its costs, including reasonable attorneys' fees. This Section does not prevent ICN or NPM from seeking an injunction or other extraordinary relief to protect or stop the infringement of the Content or Trademarks.
These Terms, together with the Content License and the Privacy Policy, constitute the entire agreement between you and ICN regarding your access to and use of the Portal and supersede all prior or contemporaneous written or oral statements or agreements regarding the same subject matter.
ICN may revise these Terms from time to time. When ICN makes material changes, ICN will update the effective date and version above and, where appropriate, notify you within the Portal. Your continued use of the Portal after a revision constitutes acceptance of the revised Terms.
